Thursfields advises on sale of Birmingham smart buildings experts to Scandinavian group

The corporate team at Thursfields Solicitors has advised the principal shareholders of Birmingham-headquartered Demma Group Ltd on its sale to Nordomatic Group, the leading smart buildings integrator across Scandinavia.

Thursfields director Gareth Burge and Joe Rollins provided corporate advice, assisted by Lisa Kemp on employment issues and Robert Pettigrew on commercial property matters.

Gareth Burge said: “Demma is a substantial business with its head office at Coleshill Manor Office Campus and has offices and operations in London, Manchester and Glasgow.

“The business was founded by Gary Poulton in 1989 and in 1991 he was joined by his partner Dave Connell. The two founders have built a very sustainable business with long-lasting customer relations and a very low employee churn.”

Today, Demma serves hundreds of repeat customers and employs more than 135 smart building experts.

The deal means that Nordomatic Holdings UK has acquired all shares in Demma Group Ltd, with Gary Poulton and Dave Connell reinvesting part of their proceedings in the Nordomatic Group top company in Sweden. The Demma brand will remain and there will be no organisational changes in the Demma Group.

“Nordomatic has done a fantastic job in transforming the building energy management systems market in Scandinavia with innovative smart buildings solutions, and we immediately understood that Demma would fit nicely into this specialised international group and that our employees and customers would benefit from this partnership.

“We will continue to run the business in the UK and, with Nordomatic as the owner, will be able to invest and become a bit braver in our growth plan.”

He added: “The legal process was handled extremely well by Gareth Burge and Joe Rollins, and the whole team at Thursfields.

Lombard set to deliver for Sainsbury’s and bring six new apartments to Bewdley

Construction is underway that will see a new Sainsbury’s store and six new apartments developed in Bewdley, and scheduled to be ready for occupation by the end of November this year.

Lombard Group Developments Ltd has appointed McPhillips of Telford as the main contractor for the project which will include the creation of a new Sainsbury’s Local and six new apartments on the former fire station site.

Sainsburys has agreed a new lease for the site and hopes to open the new store by Christmas 2022, creating 25 full and part-time jobs.

The deal for the store has been forward sold and funded by LXI REIT plc, and the apartments will be sold for owner occupation.

Jon Westwood, director of Lombard Group Developments, said: “We bought the site on Dog Lane from Worcester County Council and Hereford & Worcester Fire Authority in December 2019 after the fire station closed down and moved to the Stourport/Kidderminster Road.

“We obtained planning permission in September 2021 for a new Sainsbury’s store of 6,500 sq ft at ground level and six apartments on the first floor, each having one car parking space allocated.”

Patrick Dunne, Sainsbury’s property director, said: “Sainsbury’s is committed to helping everyone eat better and by bringing our fantastic convenience offer to Bewdley, we will be able to extend that commitment to more of our customers. We look forward to working closely with Lombard to deliver a great new store that will be an asset to the local community.”

The residential first floor will consist of five 2-bedroom and one 1-bedroom apartments. The site is next to Bewdley’s town centre car park.

Midlands training boss Rob Colbourne receives OBE in Queen’s Birthday Honours

Rob Colbourne, managing director of leading Midlands training provider Performance Through People, has been awarded an OBE in the Queen’s Birthday Honours.

Mr Colbourne has headed PTP Training, part of the BCTG Group, for nearly 18 years, and was behind the launch of The Ladder campaign that has created more than 4,000 apprenticeships across the region since 2018.

He has received the honour in recognition of his services to the training and apprenticeship sector.

Mr Colbourne, aged 52, who is married with three children and lives in Walsall, said: “I was genuinely surprised but very honoured when I received a letter telling me I was to receive an OBE.

“I have never sought such an award, but am nevertheless very proud, especially because of the emotive response from my parents.

“But most of all, I was very proud of all my colleagues at PTP who have worked so hard over the years to enhance the provision of training and apprenticeships across the Midlands regions.

“I may be picking up the award, but this OBE really is a reflection of teamwork both here at PTP and across the wider BCTG Group.”

Before his role at PTP, Mr Colbourne was the training manager at Walsall Chambers of Commerce for 13 years and was previously the training manager for the Debenhams group.

Over many years, Mr Colbourne has chaired a number of boards such as the Association of Employment and Learning Providers in the West Midlands, the Staffordshire Provider Network and more recently the Greater Birmingham LEP Education & Skills Board.

He has also represented training providers in groups such as Wordskills, Ofsted and the government’s National Provider Panel.

Chris Luty, chairman of the BCTG Group, which supports almost 10,000 young people and adults each year, said: “This is a great achievement for Rob personally and is very much deserved.

“He has worked tirelessly for the sector for more than 25 years, and his dedicated leadership of PTP Training since 2004 has been outstanding.

“He is passionate about workplace training, with two of his own children having completed apprenticeships, choosing this over academic routes.

Fledgling food entrepreneur Adam Boswell is launching his first venture by bringing the delights of traditional pie & mash to folk in Warwickshire and Worcestershire.

Helped by the team at commercial property agents John Truslove, Adam is set to open Pie, Mash & More in a former sandwich bar in Studley later this month.

The café was inspired by Adam’s passion for pie & mash, kindled during his time working in Essex.

“I just got a real taste for it during my four years working there,” he said.

“I must have been eating pie, mash and liquor six nights out of seven. I came back home and couldn’t find it anywhere, so I decided the West Midlands needed pie and mash.”

Pie and mash shops have been serving up hearty fare to the working class people of East London and Essex since the early 1800s. A recent revival in taste for traditional food has seen surging demand for the pies, with their minced beef filling, mash and the green parsley gravy known as “liquor”.

Adam said: “I’ve worked in sales most of my life, but my dad Kevin – who’s a plumber – had always talked to me about getting together to run a takeaway or food business, so we decided to finally do it.

“We looked at a place in Bromsgrove town centre but then we heard Sherlocks Sandwich Bar in Studley was closing. We talked to Ben Truslove at the property agents, John Truslove, and found it would be half the cost. It just made sense.

“Ben has been absolutely fantastic and really helpful through the whole process of securing the lease and getting the property ready.

“It was already set up as a food business, but we have brought in new ovens and kitchen equipment. We’re just sorting stock and we’ll be ready to open, hopefully on Saturday 10 June.”

To ensure he offers customers the best possible taste, Adam is sourcing his pies from Goddard’s in Kent, a family firm that has been making pie, mash and liquor since 1890.

“It’s all been personally taste-tested and approved,” said Adam.

“Most of the trade will be takeaway but we will have seating for up to a dozen people to dine in, and the position gives us a lot of passing traffic.”

Ben Truslove, joint managing director of John Truslove, helped Adam secure a three-year tenancy on the 409 sq ft premises at 69 Alcester Road, in Studley, at £9,000 per year.

Ben said: “Adam and his father have put a lot of work and research into opening this new business and I am sure the people of Warwickshire and Worcestershire will soon discover a taste for pie and mash. We wish them every success.

Industrial investments are still hot property – Bond Wolfe

Commercial property agents Bond Wolfe have sold a Stourbridge industrial estate that has been in the same family hands for 30 years.

Cridden Industrial Estate, Dudley Road, Stourbridge has been acquired by Wilton Trust, a London-based family fund company, for £1,115,000, representing a net initial yield of 5.4%.

The seller was Messrs R.A & S Baylie, a family landlord company that has owned and managed the estate for the past 30 years and was seeking to release capital.

The freehold industrial site on approximately 0.75 acres comprises five industrial units totalling 22,771 sq ft with a large car park in front.

The estate was marketed as part income producing with annual revenue of £63,750 but could provide a potential income of £90,000 per annum.

James Mattin, managing director agency at Bond Wolfe, said: “This industrial investment received lots of demand and as a result we had an extensive list of buyers who were keenly interested.

Fast growing Likewise has foot to the floor with sales growth of 28%

Soaring sales at fast growing UK floor covering distributor Likewise Group plc have seen the business move into profitability and the announcement of the AIM-listed company’s first dividend*.

Sales were up by 28% in Likewise’s final results for the year ended 31 December 2021, from £47.3 million in 2020 to £60.5 million.

Chief executive Tony Brewer said: “We are very pleased to announce we have delivered our first profit in the 2021 financial year, following the initial three years of investment to establish a meaningful floor covering distribution business in the UK.”

During the last 18 months Likewise has made significant progress including developing a profitable business, successfully floating on AIM during August 2021 and the important strategic acquisitions of Valley Wholesale Carpets (2004) Ltd in January 2022, and  Delta Carpets (Holdings) Ltd in April 2022.

Net assets almost doubled from £11.6 million in 2020 to £22.4 million, and have since grown to £38.7 million, as at 30 April 2022, following the acquisitions of Valley Wholesale Carpets and Delta Carpets.

In addition to the increasing profitability, Likewise’s balance sheet continues to strengthen with a significant freehold property portfolio of circa £20 million and net cash of £3.0 million, as at 31 December 2021.

Mr Brewer also reported a positive operational and trading performance in 2022 so far to date. Distribution capability has doubled from circa 8 million cubic feet in 2020, to circa 15 million cubic feet.

He said: “Likewise has achieved a good start to the year with a continuation of the positive sales trend and while being aware of inflationary pressures and general consumer sentiment, is currently on target to achieve its objectives for the year.

“We would like to thank all of our suppliers and customers for their support and our management and staff for their huge contribution to the business since 2018 which has seen a massive change from the formative period.

“Likewise is extremely optimistic with regards to the medium and long term given the business and strong foundations that have been established to date.”

But he sounded a word of caution, noting that the economic impacts of COVID-19 and now the war in Ukraine had increased cost prices, particularly in respect to energy, raw materials and incoming freight costs. Accordingly, Likewise has implemented a number of selling price increases, the most recent on 1 May 2022.

Going forward, sales and marketing activities are supported by the group’s investment in the distribution infrastructure and material handling capacity. This includes the new Distribution Centre in Glasgow, due to be operational in the first quarter of 2023, the recent move to an enlarged facility in Newcastle and the Birmingham Distribution Hub becoming operational which will also release capacity in the Leeds Distribution Hub.

The Newbury Logistics Centre is now operational to service the South of England.

Within Valley, work has commenced to extend the freehold Distribution Centre in Derby which will provide more storage capability in addition to increased cutting capacity for carpet and residential vinyl.

The currently unutilised freehold Distribution Centre in Newport, South Wales, will commence trading in the third quarter of 2022.

Delta, acquired in April 2022, originally based in Leeds, has now been relocated to the Likewise Distribution Hub in Leeds and is now fully operational through the Likewise Logistics Network including the Distribution Hub in Birmingham.

Mr Brewer added that with the distribution capacity established to date, combined with the enhancements to become operational during the remainder of 2022, the group has sufficient storage and processing capacity to exceed its medium-term aspirations.

“With the infrastructure established and further investment in sales and marketing, the board considers that the group has the management and teams in place to out-perform market conditions and increase market share.”

A major update on the current issues facing the Academies sector is being held by national audit, tax, advisory and risk firm Crowe at Sixways Stadium, Worcester, on Thursday 9 June.

Crowe’s annual Academies Conference will be the first in-person event the firm has held for the sector since 2019, and partner Dave Darlaston said they were looking forward to the personal interaction that a live, face-to-face discussion will offer.

Crowe speakers Dave Darlaston and director Matt Doyle-Healey will be joined by Robert Gould of Barker Associates and Phil Herriott of Lloyds Bank to discuss the issues facing the sector.

Robert Gould is a chartered building surveyor who provides strategic estates advice and specialises in the education sector. Phil Herriott is a commercial banking manager in Lloyds Bank’s dedicated team of specialist education relationship managers.

Matt Doyle-Healey said: “We have all had a difficult three years to negotiate since we all sat down face-to-face to share insights with our colleagues in the academies sector.

“Together with our panel of experts, we will be discussing topical issues including sustainability, cyber security and fraud, trading subsidiaries and VAT and tax implications.

“We will also review the implications of the Schools’ Bill, review governance matters, provide an accounting update to include accounts direction, and consider the 2022 Academy Trust handbook.”

The event is ideal for trustees, accounting officers, finance directors and business managers of academy trusts who are seeking real insight and an update to ensure they are up to speed both on changes and policy developments in their sector.
